HardproofTerms of Service

Terms of Service & Refund / Cancellation Policy
These Terms of Service (the "Terms") govern every purchase of products and services from Hardproof LLC, a Wyoming limited liability company, 30 N Gould St, Ste N, Sheridan, WY 82801 ("Hardproof," "we," "us"). By approving a quote, signing a service agreement, or paying an invoice, you ("Client") accept these Terms. Where Client has a signed service agreement or scope of work with Hardproof, that agreement controls if it conflicts with these Terms.
01What we sell
Hardproof sells business education and business-to-business professional services for online businesses, delivered digitally:
- Digital education products — online courses, lessons, written guides, checklists, and downloadable templates. Purchased once; access is granted immediately on payment.
- Membership community — an operator community with chat, forums, periodic briefings, and live calls, billed monthly and cancellable at any time.
- Website & platform builds — custom ecommerce storefronts, admin systems, and related software configuration, delivered as working deployments.
- Affiliate placement & program services — recruiting, vetting, and onboarding marketing partners for Client's own program; Client's team manages partners day to day.
- Platform care plans — hosting management, monitoring, maintenance, and updates, billed monthly.
- Marketing & creative services — email systems, content, design, and related deliverables.
Services are custom, performed-to-order business services, and everything we sell is sold to commercial clients (18+ business operators). Hardproof does not sell physical or consumable products, supplements, drugs, or any health or medical product, and Client's own product sales run through Client's own merchant accounts — never through Hardproof and never through the platform hosting our storefront.
02Quotes, fees & billing
- Specific scope, pricing, and payment schedules live in each Client's quote, proposal, or signed agreement. Purchases made through our storefront on Whop are processed by Whop, which acts as merchant of record for those transactions and handles card data directly under its own terms; your card or bank statement will show a Whop descriptor for those purchases. Hardproof does not receive or store your full card number.
- One-time fees (courses, intensives, builds, setups, placements) are due at purchase, or per the quote before or at commencement of the covered work. Recurring fees (membership, retainers, care plans) are billed in advance on the stated cycle and renew automatically until cancelled.
- Amounts more than 5 days past due may pause services; past-due amounts accrue 1.5% per month or the maximum lawful rate, whichever is lower, plus reasonable collection costs.
- Client is responsible for keeping billing contact and payment details current.
03Refund & Cancellation Policy
Digital education products (courses, guides, templates)
- Courses and downloadable materials are delivered in full and immediately on payment.
- Not yet accessed: if you have not opened any lesson and have not downloaded any file, you may request a full refund within 3 business days of payment. We verify this against platform access logs.
- Once accessed: once you open a lesson or download a file, the product has been delivered and consumed, and the purchase is non-refundable.
- Duplicate or accidental charges are always refunded in full, regardless of access.
Membership (billed monthly)
- Cancel any time — no minimum term, no cancellation fee. Access continues to the end of the current paid month.
- Partial months are not prorated or refunded; cancelling stops future billing.
Builds: our delivery guarantee
If your store is not live, processor-approved, and ready to sell within the committed delivery window, we keep working at no additional cost until it is. This is a service guarantee, not a money-back guarantee. We chose it deliberately: a refund leaves you with nothing, and refund policies create incentives that work against finishing the job. Our commitment is to finish.
One-time fees (builds, setup fees, placement fees)
- Full refund window: a one-time fee is refundable in full, on written request to blake@hardproof.io, within 3 business days of payment — provided work has not yet begun.
- Once work begins, fees are earned as work is performed and become non-refundable: these are bespoke services (design, engineering, recruiting, and infrastructure committed specifically to Client) that cannot be restocked or resold.
- Where a signed agreement defines milestones (e.g., 50% to begin / 50% at preview approval), each milestone payment is earned at that milestone.
Monthly services (retainers, care plans)
- Cancel any month-to-month service with 15 days' written notice. Committed terms (e.g., a stated 6-month engagement) run their term as stated in the signed agreement.
- The current service month, once begun, is earned and non-refundable; cancellation stops future billing. We do not prorate partial months.
If something's wrong with a deliverable
- Tell us in writing within 5 business days of delivery with a specific punch list. We will re-perform / cure at no charge — that is the first remedy, and in most cases the fix ships within days.
- If we cannot materially cure a defective deliverable after two attempts, Client receives an account credit (or, at Hardproof's discretion, a partial refund) proportionate to the unperformed portion. Delivered, accepted work is not refundable.
How to request a refund or cancellation: email blake@hardproof.io from the billing contact's address with your invoice or quote reference. We acknowledge within 1 business day and resolve within 10 business days. Approved refunds return to the original payment method.
04Billing disputes & chargebacks
- Contact us first. Client agrees to raise any billing question or dispute with Hardproof (blake@hardproof.io) and allow the 10-business-day resolution process in §03 before initiating any card dispute or payment reversal. Most issues are fixed in one email.
- Initiating a chargeback on fees for services that were delivered, or while skipping the resolution process, is a material breach of these Terms. Hardproof documents every engagement — signed agreements, quote approvals (name, timestamp, IP), delivery records, and correspondence — and will submit that evidence in any dispute.
- If a payment is reversed on amounts properly owed, the underlying debt survives: Client remains liable for the amount, plus dispute fees and reasonable collection costs, and services may be suspended until resolved.
05Delivery, timelines & Client responsibilities
- Services and deliverables are delivered digitally (deployments, links, files, reports). Timeline estimates run from Hardproof's receipt of complete Client inputs (content, access, approvals); Client-side delays extend timelines day-for-day.
- Client will provide accurate information, timely approvals (within 2 business days where an agreement says so), and lawful operation of its own business, sites, and merchant accounts.
- Third-party platforms (hosting, processors, marketplaces, ad platforms) are outside Hardproof's control; their actions, approvals, or outages are not grounds for refund of work performed.
06No performance guarantees
Except for express written service levels in a signed agreement, Hardproof does not guarantee revenue, sales, rankings, approval by any third party, or any specific business outcome. Illustrations, projections, and calculators are planning math from adjustable assumptions — not promises. Client's results depend on Client's offer, market, and execution.
07Intellectual property
Client owns its brand, content, and data. Upon full payment, Client receives the rights stated in its agreement (typically: ownership of brand assets and a license to operate delivered software for Client's own business). Hardproof retains ownership of its platform engines, templates, playbooks, rubrics, and processes, including improvements. Neither party may use the other's confidential information except to perform under these Terms; confidentiality obligations survive for 3 years.
08Warranties, liability & indemnity
Services are provided "as is" beyond the express commitments in these Terms or a signed agreement; implied warranties of merchantability and fitness are disclaimed. Neither party is liable for indirect, incidental, consequential, or punitive damages, or lost profits. Hardproof's total aggregate liability is capped at the fees Client actually paid to Hardproof in the 3 months preceding the event giving rise to the claim. The cap does not limit Client's payment obligations. Client will indemnify Hardproof against third-party claims arising from Client's products, business operations, marketing content Client approves or publishes, or Client's breach of law or of these Terms.
09Term, suspension & termination
These Terms apply for as long as Client uses Hardproof services. Hardproof may suspend services for nonpayment or material breach after notice, and either party may terminate a service per its agreement's terms (§03 governs cancellation and refunds). Sections 03, 04, 06–10 survive termination.
10General
These Terms are governed by Wyoming law; exclusive venue lies in the state and federal courts sitting in Sheridan County, Wyoming, and the prevailing party recovers reasonable attorney fees. Notices are valid by email (Hardproof: blake@hardproof.io; Client: its billing contact). Electronic signatures and click/checkbox acceptance bind the parties. If any provision is unenforceable, the remainder stands; no waiver is implied by delay. These Terms plus the applicable quote and any signed agreement are the entire agreement for the services purchased. Hardproof may update these Terms prospectively by posting a new version at hardproof.io/terms with a new effective date.
